1. Acceptance of Terms

By accessing or using Sapyyn, you agree to be bound by these Terms and by our Privacy Policy and HIPAA Notice of Privacy Practices, which are incorporated by reference. If you are using Sapyyn on behalf of a practice or organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Sapyyn is a patient referral management platform that allows healthcare providers, practice staff, and patients to create, track, and manage referrals, share related documents, and communicate about referral status. Sapyyn also offers dashboards, reporting, and provider network tools to support referral workflows.

3. Account Responsibilities

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate registration information, to keep it up to date, and to notify us promptly of any unauthorized use of your account or suspected security incident. Providers and practices are responsible for ensuring their staff use the platform in accordance with these Terms and applicable law.

4. Acceptable Use

You agree not to:

• Use Sapyyn for any unlawful purpose or in violation of any applicable healthcare, privacy, or data protection law.
• Upload or transmit information you are not authorized to share, or access referral or patient information you are not authorized to view.
• Attempt to interfere with, disrupt, or gain unauthorized access to the platform, other accounts, or underlying systems.
• Reverse engineer, scrape, or resell access to the platform without our prior written consent.
• Upload malicious code or use the platform to distribute spam or unsolicited communications.

5. Subscription and Billing

Certain features of Sapyyn require a paid subscription. Subscription fees are billed through our payment processor, Stripe, on the billing cycle selected at signup. Unless canceled before the renewal date, subscriptions automatically renew for successive billing periods at the then-current rate. You may cancel your subscription at any time through your account settings or by contacting us; cancellation takes effect at the end of the current billing period, and we do not provide prorated refunds for partial periods except where required by law. You are responsible for keeping valid payment information on file, and unpaid or failed charges may result in suspension of paid features.

6. Not Medical Advice

Sapyyn is a workflow and communication tool. It does not provide medical advice, diagnosis, or treatment, and nothing on the platform should be construed as a substitute for the independent clinical judgment of a licensed healthcare provider. Referring and receiving providers remain solely responsible for all clinical decisions, the accuracy of clinical information they submit, and the care provided to patients. Sapyyn is not a party to the clinical relationship between providers and patients.

7. Disclaimers

Sapyyn is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or completely secure, although we maintain administrative, technical, and physical safeguards as described in our HIPAA Notice of Privacy Practices.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Sapyyn and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the platform. Our total aggregate liability for any claim arising out of or relating to these Terms or the platform will not exceed the amount you paid to Sapyyn in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Termination

We may suspend or terminate your access to Sapyyn if you violate these Terms, create risk or legal exposure for us, or fail to pay applicable fees. You may terminate your account at any time by contacting us or through account settings. Upon termination, your right to use the platform ends, though we may retain certain records as described in our Privacy Policy and as required for legal, regulatory, or healthcare recordkeeping purposes.

10. Governing Law

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the platform will be subject to the exclusive jurisdiction of the state and federal courts located in Missouri, unless otherwise required by applicable law.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above, and where appropriate, through additional notice. Continued use of Sapyyn after changes take effect constitutes acceptance of the revised Terms.
